1. Acceptance of Terms

By accessing or using any website, product, or service operated by MMKJO LLC, including but not limited to mmkjo.com and the Basketball Practice Builder at mmkjo.com/practice (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and MMKJO LLC, a limited liability company registered in the State of Nevada.

2. Description of Services

MMKJO LLC operates as a management and operations consulting company and the owner of multiple brands and digital products. The Services currently include:

• mmkjo.com — The primary website and brand hub for MMKJO LLC and its portfolio of brands and products.
• Coach Marcus Basketball Practice Builder (mmkjo.com/practice) — An AI-powered tool that generates basketball practice plans for coaches working with youth players ages 6–12.

MMKJO LLC reserves the right to modify, suspend, or discontinue any part of the Services at any time with or without notice.

3. User Accounts

To access certain features of the Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and accept responsibility for all activity that occurs under your account
• Notify MMKJO LLC immediately at info@mmkjo.com of any unauthorized use of your account
• Not share your account credentials with any third party

MMKJO LLC reserves the right to terminate or suspend accounts that violate these Terms or that have been inactive for an extended period.

4. Payments and Subscriptions

Certain features of the Services require a one-time payment. All payments are processed securely through Stripe, a third-party payment processor. MMKJO LLC does not store your credit card or payment information.

Free Tier

New accounts receive a limited number of free practice plan generations. Once the free tier limit is reached, a paid upgrade is required to continue generating plans.

Paid Tiers

Paid tiers are offered as one-time purchases and grant access to an increased or unlimited number of practice plan generations. Current pricing is displayed at the point of purchase within the Services.

Refund Policy

All purchases are final and non-refundable unless otherwise required by applicable law. If you believe you have been charged in error, contact us at info@mmkjo.com within 7 days of the transaction and we will review your request in good faith.

Price Changes

MMKJO LLC reserves the right to change pricing at any time. Price changes will not affect purchases already completed.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use the Services to generate content that is unlawful, harmful, threatening, abusive, or otherwise objectionable
• Attempt to gain unauthorized access to any part of the Services or its related systems
• Use automated tools, bots, or scripts to access or interact with the Services without prior written consent
• Resell, sublicense, or redistribute access to the Services without authorization
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to reverse engineer any component of the Services

6. Intellectual Property

All content, features, functionality, branding, logos, and technology comprising the Services are the exclusive property of MMKJO LLC or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to copy, modify, distribute, sell, or exploit any part of the Services.

Practice plans generated through the Services are provided for your personal and professional use as a coach. You may use, adapt, and share generated content for coaching purposes.

7. AI-Generated Content

The Basketball Practice Builder uses artificial intelligence to generate practice plans. You acknowledge and agree that:

• AI-generated content is provided as a tool and idea generator, not as professional coaching advice
• MMKJO LLC does not guarantee the accuracy, completeness, or suitability of any generated content for any specific team, player, or situation
• You are responsible for reviewing all generated content and exercising your own professional judgment before implementing any practice plan
• Generated content may vary and similar inputs may produce different outputs

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MMKJO LLC DISCLAIMS ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

MMKJO LLC does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Your use of the Services is at your sole risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MMKJO LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL MMKJO LLC'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO MMKJO LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Termination

MMKJO LLC reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at info@mmkjo.com. Termination does not entitle you to a refund of any amounts paid.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Nevada, and you consent to personal jurisdiction in such courts.

12. Changes to These Terms

MMKJO LLC reserves the right to update or modify these Terms at any time. When changes are made, the Effective Date at the top of this page will be updated. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

Information You Provide Directly

• Account information — When you create an account, we collect your email address and password (stored securely and encrypted via Clerk).
• Payment information — When you make a purchase, payment details are collected and processed by Stripe. We do not store your credit card number, CVV, or full payment details on our servers.

Information Collected Automatically

• Practice plan usage data — When you generate a practice plan, we record information about your selections including age group, number of players, practice duration, skill level, team energy, number of coaches, focus areas, and whether observations or player notes were included. We do not record the actual text content of your observations or player notes.
• Account activity — We track the number of practice plans generated per account for the purpose of enforcing usage tier limits.

Information We Do Not Collect

• We do not collect names, phone numbers, physical addresses, or demographic information
• We do not collect information about the players or teams you coach
• We do not collect the text content of your game observations or player notes entered into the practice builder
• We do not use tracking pixels, third-party advertising trackers, or sell your data to advertisers

3. How We Use Your Information

We use the information we collect for the following purposes:

• To provide the Services — Your account information allows you to log in and access the practice builder. Your usage data allows us to enforce tier limits and track your generations.
• To process payments — Payment information is used to complete your purchase and upgrade your account tier.
• To improve the Services — Aggregated and anonymized usage data (such as which age groups and focus areas are most popular) helps us understand how coaches use the tool and how to improve it.
• To communicate with you — We may use your email address to respond to support requests or send important notices related to your account or the Services.
• To enforce our Terms — We may use account and usage data to detect and prevent abuse of the Services.

4. How We Share Your Information

We do not sell your personal information. We share your information only in the following limited circumstances:

• Clerk — We use Clerk to manage user authentication. Your email address and encrypted password are stored with Clerk. Clerk's privacy policy is available at clerk.com.
• Stripe — We use Stripe to process payments. Payment information is shared with Stripe and governed by Stripe's privacy policy, available at stripe.com.
• Anthropic — Practice plan prompts (including your selected options such as age group, focus areas, and any observations you enter) are sent to Anthropic's API to generate your practice plan. Anthropic's privacy policy is available at anthropic.com.
• Legal requirements — We may disclose your information if required to do so by law or in response to valid legal process such as a court order or government request.
• Business transfers — In the event of a merger, acquisition, or sale of all or substantially all of MMKJO LLC's assets, your information may be transferred as part of that transaction.

5. Data Retention

We retain your account information and usage data for as long as your account remains active. If you request account deletion, we will delete your personal information within 30 days, except where retention is required by law or for legitimate business purposes such as resolving disputes or enforcing our agreements.

Aggregated and anonymized usage data that cannot be linked to any individual may be retained indefinitely for analytical purposes.

6. Security

We take reasonable technical and organizational measures to protect your information against unauthorized access, loss, destruction, or alteration. These measures include encrypted password storage, secure HTTPS connections, and restricted access to personal data.

However, no method of transmission over the internet or electronic storage is 100% secure. We cannot guarantee absolute security and encourage you to use a strong, unique password for your account.
